1. Introduction
Welcome to Halo 247 (“Halo 247,” “we,” “our,” or “us”), an AI-powered client interview platform and mobile application operated by Mega Lab Technologies, Inc., located at 131 Continental Dr, Suite 305, Newark, DE 19713, USA. These Terms of Service (“Terms”) govern your access to and use of the Halo 247 platform, applications, and related services (collectively, the “Service”). By creating an account, accessing, or using Halo 247, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use our Service. If you are entering into these Terms on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity, and “you” will refer to that entity.
2. Description of Service
Halo 247 provides tools to conduct, record, analyze, and summarize client interviews using artificial intelligence. Core features may include: video/audio interview capture and transcription; AI-driven summaries and analytics; collaboration and data-sharing tools; and integrations with third-party applications. We may update or modify features from time to time to enhance functionality or ensure compliance with applicable laws.
3. Eligibility
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use Halo 247. By using the Service, you represent that: (a) you have the legal capacity and authority to agree to these Terms; (b) you will provide accurate and complete information when creating your account; and (c) your use of Halo 247 will comply with all applicable laws and regulations.
4. Account Registration and Security
To access most features, you must register for an account. You agree to keep your credentials secure, not share your account with unauthorized users, and notify us immediately of any unauthorized access or breach. You are responsible for all activity under your account, including actions taken by your employees, agents, or collaborators.
5. Acceptable Use Policy
You agree not to use Halo 247 for any purpose that: (a) violates any law or regulation; (b) infringes intellectual property, privacy, or confidentiality rights of others; (c) involves uploading or recording content without proper consent; (d) introduces viruses, malware, or harmful code; or (e) attempts to reverse-engineer, scrape, or exploit the Service. We reserve the right to suspend or terminate any account violating this policy.
6. Client Responsibilities and AI Data Disclaimer
Halo 247 enables users to record, upload, and process interview data that may contain business-sensitive, confidential, or privileged information. You are solely responsible for ensuring that you have the necessary consent and authorization to record or upload all content; that you do not disclose privileged, confidential, or restricted information through Halo 247; and that you comply with applicable privacy, employment, and data protection laws. Mega Lab Technologies, Inc. does not review or monitor user content and is not liable for any disclosure or misuse of sensitive or privileged information. AI-generated results, including transcripts, summaries, and insights, are provided for informational purposes only and do not constitute legal, professional, or business advice. You are responsible for validating the accuracy of AI outputs.
7. Intellectual Property Rights
All rights, titles, and interests in the Halo 247 platform, including software, AI models, design, and branding, are owned or licensed by Mega Lab Technologies, Inc. and protected by intellectual property laws. You retain ownership of your interview recordings, transcripts, and related materials (“User Content”). By uploading content, you grant Mega Lab Technologies, Inc. a limited, non-exclusive, revocable license to process and display that content solely to provide the Service to you. We do not use your data to train public AI models.
8. Subscription, Payments, and Billing
Some features of Halo 247 are available through paid subscriptions. By purchasing a plan, you agree to pay all fees associated with your account on time and authorize us (or our payment provider) to charge your selected payment method. Subscriptions auto-renew unless cancelled prior to renewal. All prices are listed in USD unless otherwise stated and are subject to change with notice. Refunds are handled in accordance with our refund policy or applicable law.
9. Termination
You may cancel your account at any time by contacting hello@halo247.ai. We may suspend or terminate access immediately if you violate these Terms or applicable law; we detect fraudulent, abusive, or harmful behavior; or as required by law or regulation. Upon termination, your account and related data will be handled per our Privacy Policy.
10. Third-Party Services
Halo 247 may integrate with third-party tools or platforms (e.g., Zoom, Google Drive, or CRMs). Use of such tools is governed by the third parties’ own terms and privacy policies. Mega Lab Technologies, Inc. is not responsible for any third-party actions or data handling.
11. Disclaimers and Limitation of Liability
Halo 247 is provided on an “as is” and “as available” basis. We make no warranties regarding reliability, accuracy, or fitness for a particular purpose. To the fullest extent permitted by law, Mega Lab Technologies, Inc. and its affiliates will not be liable for any indirect, incidental, or consequential damages arising from use or inability to use the Service; loss of data or profits; errors in AI-generated content; or unauthorized access to your data. Our total liability for any claim shall not exceed the amount you paid (if any) for the Service in the preceding 12 months.
12. Indemnification
You agree to indemnify and hold harmless Mega Lab Technologies, Inc., its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of Halo 247; violation of these Terms; or uploading of confidential or privileged materials without authorization.
13. Modifications to the Service
We reserve the right to modify, suspend, or discontinue Halo 247 or any feature at any time, with or without notice. We are not liable for any modification, price change, or service interruption.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Delaware, USA, except where prohibited by law. You agree that all disputes must be filed individually, and no class actions or collective proceedings are permitted.
15. Updates to These Terms
We may revise these Terms periodically. The updated version will be posted on our website and mobile app with a new “Last Updated” date. Continued use of the Service constitutes acceptance of the revised Terms.
